Terms of Use

1. Agreement and eligibility

These Terms form a binding agreement between you and Expressline LLC, a Wyoming limited liability company. By creating an account, accepting these Terms, installing Axis, or using Axis, you agree to them. You must be legally able to enter this agreement and authorized to bind any organization for which you use Axis.

2. License

Subject to your account standing, payment obligations, and these Terms, Expressline LLC grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use Axis for your internal purposes during an authorized subscription, trial, or grant. Axis is licensed, not sold.

3. Restrictions

• Do not copy, redistribute, resell, rent, lease, sublicense, publish, or commercially exploit Axis without written permission.
• Do not reverse engineer, decompile, disassemble, derive source code from, or create derivative works of protected Axis software except where applicable law expressly permits it.
• Do not bypass payment, licensing, authentication, entitlement, usage limits, remote deactivation, update, code-protection, or security controls.
• Do not probe, disrupt, overload, introduce malware into, or obtain unauthorized access to Axis services, accounts, systems, or other people’s devices or data.
• Do not use Axis unlawfully, fraudulently, abusively, to violate rights, or to conduct unauthorized surveillance or access.

4. Accounts, subscriptions, and billing

You are responsible for accurate account information and for activity under your account and installations. Paid features require a valid subscription or grant. Prices, billing periods, taxes, renewals, trials, and cancellation terms are shown at purchase. Subscriptions renew until canceled. Except where a refund is required by law, charges are non-refundable. As a voluntary exception, Axis may refund an accidental renewal if you notify support@tryaxis.so within 24 hours of the renewal charge. Canceling stops future renewals and does not refund the current billing period. Billing may be handled by Polar or another disclosed provider under its own checkout terms.

5. Your content and local data

You retain ownership of your content. You grant Expressline LLC only the limited rights needed to provide the features you request. Axis is local-first, but content may be transmitted to AI providers, integrations, paired devices, or notification services that you configure or enable. You are responsible for deciding what content to send and for maintaining appropriate backups.

6. Bring-your-own AI providers and credentials

Axis connects to AI providers and other services using accounts, subscriptions, API keys, tokens, OAuth grants, credentials, and configurations that you provide or authorize. Expressline LLC does not provide, control, guarantee, insure, or assume responsibility for those third-party accounts or credentials.

You are solely responsible for provider access, credential security, permissions, usage limits, charges, rate limits, model availability, data handling, and compliance with each provider’s terms. You must promptly revoke or replace compromised credentials. Axis usage estimates are informational and may differ from provider invoices.

7. AI output and agent actions

AI models and agents may produce incorrect, incomplete, insecure, offensive, outdated, or harmful output. They may modify or delete files, execute commands, access connected services, communicate externally, incur charges, or otherwise take consequential actions when permitted.

You are solely responsible for supervising use, reviewing prompts and outputs, approving consequential actions, validating code and commands, maintaining backups, setting permissions and spending limits, and determining whether an action is lawful and appropriate. Expressline LLC does not control third-party AI models and is not responsible for their output, conduct, availability, token usage, provider charges, or your reliance on them. Axis is not a substitute for legal, medical, financial, security, safety, or other professional advice.

8. Suspension and termination

We may suspend or terminate accounts, subscriptions, entitlements, installations, or service access for non-payment, chargebacks, fraud, security risk, unlawful use, material breach, protection of users or systems, or legal requirements. We may remotely revoke or deactivate paid access. Where reasonably practical, we will provide notice and an opportunity to cure; we may act immediately where delay creates risk. You may stop using Axis and cancel renewal at any time.

9. Updates and third-party services

Axis may install or require security, compatibility, entitlement, and product updates. Features may change, be limited, or be discontinued. Third-party AI providers, payment providers, integrations, open-source components, and other services are governed by their own terms. Expressline LLC is not responsible for third-party services, outputs, security, availability, pricing, or changes.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIS IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXPRESSLINE LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPRESSLINE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, CREDENTIALS, TOKENS, GOODWILL, OR BUSINESS INTERRUPTION, INCLUDING LOSSES CAUSED BY AI OUTPUT, AGENT ACTIONS, THIRD-PARTY PROVIDERS, PROVIDER CHARGES, OR SECURITY INCIDENTS.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO AXIS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID EXPRESSLINE LLC FOR AXIS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

12. Indemnity

To the extent permitted by law, you will defend and indemnify Expressline LLC and its affiliates, officers, employees, contractors, and suppliers against third-party claims arising from your content, provider accounts or credentials, unlawful or prohibited use, agent actions you authorize, or breach of these Terms. This does not require indemnity for our own unlawful conduct.

13. Governing law and disputes

These Terms are governed by Wyoming law and applicable United States federal law, without regard to conflict-of-law rules. Courts located in Wyoming will have exclusive jurisdiction unless mandatory consumer law requires another forum. Before filing a claim, each party will attempt in good faith for 30 days to resolve it by contacting contact@tryaxis.so.

14. General

If a provision is unenforceable, the remainder remains effective. Failure to enforce is not a waiver. You may not assign these Terms without written consent; we may assign them in connection with a restructuring or business transfer. These Terms, the Privacy Policy, and applicable purchase terms are the entire agreement for Axis. We may update these Terms, and material updates may require renewed acceptance.
